1. Welcome to Movebay.com. If you continue to browse and use this website you are agreeing to comply with and be bound by the following terms and conditions which govern Movebay’s relationship with you in relation to this website.

2. The term ‘Movebay’ or ‘us’ or ‘we’ or ‘our website’ refers to Movebay.com Limited the owner of the website which is registered in England & Wales with company number 07217485 and whose registered office is 43 Highfield Road, Dartford, Kent DA1 2JS.

3. The term ‘you’ refers to the registered user of our website.

4. The term “available jobs” refers to consignments registered by another user with a view to making an arrangement to subcontract the work. Movebay is not a party to the proposed transaction other than being the website publisher.

5. The term “available space” refers to users who register available space on a vehicle which might be of interest to another user with a view to making an arrangement to utilise the space. Movebay is not a party to the proposed transaction other than being the website publisher.

6. The use of this website is subject to the following terms of use:

a) Payment of the subscription fee as advised by Movebay from time to time;

b) Movebay will provide you in writing with 1 calendar month’s notice of any change to the subscription fee;

c) The subscription fee entitles you to register an unlimited number of “available jobs” and “available space” on the website and register your interest in those proposals.

d) The subscription fee is inclusive of VAT at the prevailing rate;

e) The subscription fee shall be due on the first day of each calendar month and shall be made in advance by direct debit from your bank account or by charging your credit card,

f) You will advise us immediately of any changes to your bank account or credit card details as failure to do so will incur an administration fee of £20

g) If your subscription fee is returned unpaid or not honoured for any other reason you shall pay Movebay an administration fee of £25 ;

h) You must provide 1 calendar month’s notice in writing of your intention to cease payment of the subscription fee;

i) Movebay reserves the right at any time to cancel or suspend your use of the website in the event of any of the following:

(i) You commit a serious or repeated breach of these terms and conditions and the breach if capable of remedy is not remedied within 7 days of notification of the breach;

(ii) Where any monies due to Movebay by you remain unpaid 1 calendar month after its due date for payment;

(iii) You are the subject of three complaints in any continuous period of six month;

(iv) You knowingly provide false details when applying for use of the website and the false declaration would have reasonably affected Movebay’s decision to allow you use of the website;

j) Movebay reserves the right to retain the balance of the subscription fee to cover any reasonable costs they have incurred as a result of action taken to cancel or suspend your use of the site.

k) In the event you provide your website user details to any third party to access or use the website you will render yourself liable to a penalty of £300 in addition to any other remedies available to Movebay under these terms and conditions for each and every occasion that a third party uses or accesses the website.

l) The content of the pages of this website is for your general information and use only. It is subject to change without notice.

m) Neither we nor any third parties provide any warranty or guarantee as to the accuracy, timeliness, performance, completeness or suitability of the information and materials found or offered on this website for any particular purpose. You acknowledge that such information and materials may contain inaccuracies or errors and we expressly exclude liability for any such inaccuracies or errors to the fullest extent permitted by law.

n) Your use of any information or materials on this website is entirely at your own risk, for which we shall not be liable. It shall be your own responsibility to ensure that any products, services or information available through this website meet your specific requirements.

o) This website contains material which is owned by or licensed to us. This material includes, but is not limited to, the design, layout, look, appearance and graphics. Reproduction is prohibited other than in accordance with the copyright notice, which forms part of these terms and conditions.

q) Unauthorised use of this website may give rise to a claim for damages and/or be a criminal offence.

s) You may not create a link to this website from another website or document without Movebay’s prior written consent.

t) Movebay may change its usage terms and conditions from time to time by updating this page. You shall become bound to the current version of the relevant terms and conditions (the "current version") and, unless stated in the current version, all previous versions shall be superseded by the current version. You should check this page from time to time to ensure that you are happy with any changes.

u) Where any conflict or contradiction appears between the provisions of these website terms and conditions and any other relevant terms and conditions, policies or notices, the other relevant terms and conditions, policies or notices which relate specifically to a particular section or module of the website shall prevail in respect of your use of the relevant section or module of the website.

y) Your use of this website and any dispute arising out of such use of the website is subject to the laws of England.

7. Movebay shall on each 1st July following the anniversary of your registration as a user make a bonus issue of 100 “B” ordinary shares to each registered user as at that date in respect of your ongoing support of our website.

8. Movebay shall on each 1st April following the end of the calendar year make a bonus issue of 10 ‘B’ ordinary shares to each registered user as at that date in respect of each and every available job and each available space posted on Movebay in the previous calendar year.

Movebay is committed to ensuring that your privacy is protected and should we ask you to provide certain information by which you can be identified when using this website to understand your needs and provide you with a better service, and in particular for internal record keeping, improving our products and services; periodically sending promotional emails about new products, special offers or other information which we think you may find interesting using the email address which you have provided; use your information to contact you for market research purposes.

10. Movebay may contact you by email, phone, fax or mail and we may use the information to customise the website according to your interests.

11. Movebay is committed to ensuring that your information is secure and in order to prevent unauthorised access or disclosure, we have put in place suitable physical, electronic and managerial procedures to safeguard and secure the information we collect online. 17. If you believe that any information we are holding on you is incorrect or incomplete, please write to The Data Controller at our registered office address as soon as possible Movebay shall promptly correct any information found to be incorrect.
